Faegre & Benson counsels issuers, investors and investment banks in the full range of capital raising and recapitalization transactions, including securities offerings, tender offers, exchange offers, spin offs and going private transactions. We handle public and private offerings and compliance with the regulations of the SEC, NYSE, Nasdaq, AMEX, FINRA, and the London Stock Exchange and its Alternative Investment Market.

We acted as counsel for public offerings that raised more than $170 billion in the past three years. In addition to initial and secondary public equity offerings, registered direct offerings and at-the-market offerings, we represent clients in investment grade and high yield debt offerings and offerings involving registered exchange offers, medium-term note programs and equity-linked securities. We also handle private placements, including venture capital financings and transactions structured under Rule 144A or as private investment in public equities deals.

Other securities-related transactions in which we serve clients include tender offers, going private transactions, spin offs, business combinations and hedge, investment and other fund formations. We also assist with transactions involving outstanding securities or existing securityholders, such as rights offerings, remarketing transactions, open market purchases and consent solicitations.

Our lawyers handle transactions involving common stock, preferred stock, debt securities, convertible securities, hybrid units, securities listed on European markets, derivatives, equity-linked securities, medium-term note and commercial paper programs, trust originated securities, mutual fund shares and tax exempt bonds.

We act as primary corporate counsel with respect to capital markets activities and other matters for more than 40 public companies, including Fortune 100 companies.
